1. Services

Subject to the clauses and terms put forward in this agreement, and contingent on the satisfaction of the customer's credit approval system of SEO Host, SEO Host agrees to provide the SEO Hosting services as described on the order page.

2. Term

The initial service term of the agreement generally begins on the date the customer is sent an email from SEO Host announcing the activation of the customer's account and shall continue until the number of months paid for (as per current tariffs). Upon expiration of the initial term, this agreement shall automatically renew for a period same as the original term unless stated otherwise by the customer or SEO Host. For any kind of changes in renewal term, the customer must issue a written notice, minimum 72 hours prior to the service renewal date.

3. Payments

• 3.1 Fees: Fees are payable in advance. All dues MUST be cleared before the commencement of each billing cycle. The billing cycle offerings currently stand at monthly, semi annually, annually, 2 years or otherwise if stated in the order form. If the payment is made through a debit/credit card, the customer authorizes SEO Host to bill subsequent bills to the same card. Invoices would be mailed electronically to the customer after the bill has been charged to the card on file. All payments must be made in USD (United States Dollars).
• 3.2 Customer responsibility: The customer is liable to keep all billing information on file with SEO Host up to date. It is the customer's responsibility to update his/her billing information (credit/debit card changes, changes in billing address etc.). SEO Host may suspend SEO Hosting services to the client if any service fees are overdue. Fees not disputed by the client within 30 days of due date are conclusively deemed accurate, and may not be disputed any later than 30 days.
• 3.3 Payment Subscriptions: If you pay SEO Host via PayPal, it is your responsibility to cancel any subscription for recurring PayPal payments. This applies to when you cancel your services with SEO Host or upgrade/downgrade your existing plan. In case of upgrades/downgrades, any currently active payment subscriptions have to be cancelled and a new one has to be setup at least 24 hours before the due date of the next invoice.
• 3.4 Early Termination: The customer acknowledges that the amount of the fee for the SEO hosting service is based on the customer's agreement to pay the fee for the entire initial term, or renewal term as applicable. If SEO Host ever terminates SEO services to a particular client for customer's breach of the service agreement other than in accordance with "Termination" clause, the unpaid fees for the billing cycle in the current term are payable on the business day following the date of termination of SEO Hosting services to the client.
• 3.5 Chargeback and disputes: If SEO Host receives a chargeback or payment dispute from the customer's card issuing bank or from PayPal, his services may be suspended without notice. A $25 chargeback fee plus any outstanding balances accrued as a result of the chargeback must be paid in full before service is restored. We strongly recommend you to contact our billing team to get your billing issues sorted and then raise a chargeback if you are still not satisfied.

4. Compliance with ALL laws

The customer agrees to use the SEO Hosting service in a manner consistent with all applicable laws and regulations of the United States of America, the Commonwealth of Virginia and Lebanon. Reproduction or transmission of any kind of material in violation of any local, state, national or international law or regulation is strictly prohibited. The customer agrees that any material reproduced or transmitted on SEO Host's services through the customer's SEO hosting account does NOT violate any copyright, trademark, patent, statutory, common law, proprietary rights etc.

5. Customer Information

Upon signing up for an SEO Hosting service with SEO Host, the customer warrants that any information provided to SEO Host by him, her or it is entirely precise and accurate. The customer must be over 18 years of age to avail the SEO Hosting services provided by SEO Host. SEO Host shall rely on all customer information provided as primary contact info to contact and inform the customer of any matter that may concern him/her or the SEO Hosting service provided by SEO Host. In case the primary contact information has to be changed, the customer must issue a written notice to SEO Host with updated contact details and then allow SEO Host at least 72 hours to put the changes into effect.

6. Indemnification

The customer agrees to indemnify and hold harmless SEO Host, its management, its employees and all of its agents from and against all kinds of claims, liabilities, demands, losses, obligations, fines, damages, penalties and any kind of losses incurred by the customer because of the SEO Hosting service provided by SEO Host. Any kind of blame, penalties, losses, attorney fees imposed upon SEO Host by a 3rd party resulting from violation of any legal law by a customer would be taken up by the customer. The customer will be held liable for any kind of TOS violated under the customer's account by any person, irrespective of whether the person was authorized to use the account or not.

7. Disclaimer of warranties

SEO Host does NOT warrant or represent that the SEO Hosting services provided will be uninterrupted, error­-free or entirely secure. To the extent allowed by law, SEO Host disclaims ALL warranties, including the implied warranties of Merchantability, Fitness for a particular purpose, Non­-infringement. To the extent permitted by law, all SEO Hosting services are provided on an "AS IS" basis.

8. Limitation of Damages

SEO Host shall not be held liable for any losses, loss of potential profits caused to the customer or any other party in connection with the customer, arising from the SEO hosting services provided by SEO Host or due to breach of one or several terms mentioned in this Agreement. SEO Host CANNOT be held responsible for any similar damage caused to the customer or related parties which could have been avoided by the use of reasonable diligence arising in connection with the agreement, even if SEO Host has been advised or should be aware of the possibility of such losses and damages.

Without withstanding anything else in the TOS to the contrary, the maximum total liability of SEO Host and any of its employees, staff and managers shall be monetary payment not exceeding the amount payable by the customer for one month of service.

9. Suspension

The customer agrees that SEO Host is permitted to suspend any of the services including SEO Hosting provided to the customer by SEO Host without notice or liability at any point of time as deemed suitable to SEO Host, reasons including (but not limited to):

• SEO Hosting services or any other service being used by the customer violates a clause of the TOS.
• The customer does not co­operate with any reasonable investigation of a suspected violation of the TOS of SEO Host.
• The customer threatens, disrupts, insults or harms any employee/staff member/customer of SEO Host intentionally or unintentionally.
• SEO Host reasonably believes that the suspension of service (including SEO Hosting) is necessary to protect the interest of other customers or SEO Host's network.
• SEO Host can suspend the account if requested by a legal authority or law enforcement agency

The customer may be charged a reinstatement fee for reinstating services suspended by SEO Host.

10. Termination/Cancellation

The agreement may be terminated by SEO Host prior to the date of expiration of account without prior notice or any kind of liability. Some possible reasons for untimely termination of services include (but are NOT limited to):

• Upon 7 days of written notice sent to the customer regarding a payment outstanding, invoice unpaid or any other dues not cleared. Failure to clear all dues within 7 days of notice may lead to termination of services permanently.
• Customer intentionally/unintentionally materially violates any of the clauses listed in the TOS or the AUP and fails to cure the damage/loss within 7 days of infringement.
• As deemed necessary by SEO Host or any of its employees/managers/staffers.

Accounts which are not paid in full by the end of the first day of a billing cycle will be given a grace period of 5 days. SEO Host reserves the right to suspend the account and to charge a 10% late fee, if payment is not made within the 5 day grace period. We reserve the right to terminate services after 25 days following suspension of services for non­-payment.

SEO Host is not responsible for any damages or losses as a result of suspension or termination due to non-payment on the account. In addition, SEO Host reserves the right to refuse to re­activate your services until any and all outstanding invoice(s) have been paid in full.

A service can be terminated by a customer ONLY after ALL outstanding invoices in the customer's account have been paid and all dues cleared.

Cancellation requests made over the telephone or live chat are not considered valid and thus have to be communicated to our billing team by email within 30 days or minimum 48 hours prior to the service's renewal date. In case of no cancellation requests placed within the required time frame, the customer will be billed for the next Billing Term and is responsible for payment of the services. Cancellations are not final until confirmed by a representative of SEO Host (not an auto­responder of a ticket received) in writing by email.

11. Requests for customer information

The customer agrees that SEO Host can and may, without any prior notice to the customer:

• 1. Report to appropriate authorities about any conduct/action of the customer that SEO Host believes violates the law, SEO Host's TOS or causes harm to any individual/company.
• 2. Provide information about the customer or other end users to a law enforcement or regulatory agency upon demand or request, formal or informal.

12. Backup Copy

The customer agrees to maintain up­-to-­date backups of all his/her data hosted with SEO Host notwithstanding any agreements or promises made by SEO Host to maintain back up services. In the dreaded event of data loss, SEO Host cannot be blamed/held liable for the loss of data irrespective of the value of information lost.

13. Changes to SEO Host's network

Upgrades/Downgrades or similar changes to SEO Host's network, including, but not limited to software, hardware, staff, service providers, suppliers etc, may affect or interrupt services. SEO Host reserves the right to make changes to its network whenever it deems necessary without having to notify the customers who possibly might be affected by the amendment/change. SEO Host cannot be held liable for any harm caused to the customer resulting from downtime/interruption of service due to changes being made to SEO Host's network.

14. Notices

Notices to SEO Host are to be sent via e­mail to the addresses listed on the website. Notices to customers too shall be given via electronic mail to the address on file with SEO Host as in accordance with the Primary Contact Information. All notices transmitted, are assumed to have been received on the same day.

15. Force Majeure

SEO Host shall not be in default of any kind of obligation under the agreement if the failure to perform the obligation is due to an event or incident beyond the control of SEO Host. This includes, but is not limited to: all natural disasters and calamities, power failures, service downtime etc.

16. Affiliate Program

Accounts registered by "bots" or alternative machine­-driven ways are not permissible. You must provide us with your legitimate details such as your full name, contact number, email address and all the other information requested before/while signing up for our affiliate program. Any incorrect declaration of information will result in referrals being deemed invalid and the account being disqualified from our affiliate program.

One person or legal entity is strictly entitled to hold only one affiliate account. It is strictly against our Terms of Service to refer yourself from a unique identity or account and receive commission through our affiliate program. An account that has any information similar to or matching an affiliate account will be considered a self-referral. This includes, but is not limited to, first and last name, email address, IP address, phone number, street address, name on credit card, PayPal information, personal/company details, or website details or any other self-identifying account information. Family members will not be accepted as a valid 'referred' and will be deemed 'self-referral'. Signing up on behalf of another individual is also considered a self-referral and commissions will not be earned on such referrals. Please be informed that each payout request is dealt with individually to see if it complies with our policies.

SEO Host reserves the right to hold the Affiliate Commission balance at any time and indefinitely, if the account of the Affiliate (pertaining to any other service availed under SEO Host) reflects any dues pending.

SEO Host reserves the right to deduct from Affiliate's current and future Commission Fees any and all Commission Fees corresponding to any fraudulent, questionable, and cancelled SEO Host purchases.

Where no subsequent Commission Fee is due and owing, SEO Host will send Affiliate a bill for the balance of such refunded purchase upon termination of the program or termination of the Referred Customer.

We reserve the right to terminate our affiliate program at our discretion.

17. Unacceptable usage of resources

The following types of behavior and conduct on the customer's behalf may be the grounds for suspension of service pending investigation by SEO Host or a law enforcement agency. It may result in termination (without a refund) of account(s) if such an investigation determines that the client has been responsible for violating a clause or multiple clauses of the TOS or not be in accordance to the current applicable law.

• 1. Posting a single article, or substantially similar article/data to an excessive number of newsgroups or forums or continual posting of off­-topic discussions. Following a complaint by a newsgroup/forum/website due to inappropriate behavior by a customer and unethical methods of marketing a promotion of a website residing within the network of SEO Host, service to the customer may be temporarily suspended or permanently
• 2. Sending unsolicited emails from SEO Host's network with or without intention of marketing/promotion. This is treated as spam and would result in suspension/termination of service to the customer.
• 3. Engaging in either inappropriate postings, copyright infringement, spam using services from a provider other than SEO Host for the promotion or marketing of a website that lies within the SEO Host network is also considered unethical and hence treated as a violation of a TOS. This would result in suspension/termination of services to the customer.
• 4. Continual harassment of individuals over the internet even upon being asked to stop by the victims and/or SEO Host.
• 5. Engaging in mail bombing (sending large volumes of emails to a particular individual's e­mail address).
• 6. Attempts to hack and gain access to another user's personal information without the consent of the user.
• 7. Network Unfriendly Activity: Attempts to interfere with regular operations of SEO Host's systems that hampers the smooth running of SEO Host or its network connections or any action that adversely affects the ability of users to use SEO Host's services over the internet including but not limited to:
• 8. Any unauthorized attempts to gain root access to any of SEO Host's servers or other client's accounts.
• 9. Use of SEO Host's services, servers and systems to disrupt services of another provider.
• 10. Usage of server resources, network and bandwidth resources in a manner that hampers the performance of other accounts on the same server, other servers using the same network or any other system used by SEO Host to provide its services.

18. Refund Policy and Billing Disputes

No fees and charges, including the charges for domain name registration, transfer or renewals, domain name transfers or renewals, shared hosting, VPS hosting, dedicated server packages, custom packages, setup fees, SSL certificates, WHMCS Licenses, add-ons, dedicated IP addresses, advanced support fees, processing fees, or software licenses shall be refunded. All payments made in favor of SEO HOST shall be non-refundable.

In case we are liable for any refund, all fees for value added services such as SSL certificate or free domain name registration that may be part of the Service shall be deducted from any refunds or account credits.

All refunds will be made to the original payment instrument that was used for purchasing the package/subscription. It may take one week to process your refund requests. In case, the questioned payment is more than 60 days and you are eligible for a refund, the applicable refund shall be made via PayPal.

All transactions made through some payment instruments such as bank wire transfers, Western Union payments, checks and money orders shall remain non-reversible irrespective of the money back guarantee. Any such refund shall be credited to your hosting account on the Service.

Shared hosting plans come with a 30 days money back promise. If for whatever reason we fail to satisfy you within 30 days we will refund the balance of your initial payment, all we ask is you give us a reason so this will help us improve as a company. Dedicated Servers do not fall under this policy due to the labor involved in setting them up and also cost. Refunds may take up to 2 weeks.

19. Money Back Guarantee

The 30­-day money back guarantee is offered to allow clients to try SEO Host's services risk­-free. A client, who upgrades his service during the first 30­-days, is not eligible for the money back guarantee. It is assumed that the client is satisfied with the service quality maintained by SEO Host.

ONLY new and first time signups are eligible for a refund under the 30 day money back guarantee. If you already have an existing account with us (whether cancelled, newly signed up or reinstated) or if you have opened a second account with SEO Host and want to cancel it within 30 days, then you will not be eligible for a refund.

Accounts canceled/terminated by SEO Host for violation of T.O.S do not qualify for the 30­-day money back guarantee. The money back guarantee is only applicable to the Shared SEO hosting service. Payments towards Domain registration, Virtual Private Servers and Dedicated server packages are not refundable.
